ShubhiTech Software Development Company - Terms and Conditions
1. Scope of Work:
a. ShubhiTech agrees to provide software development services as described in the mutually agreed-upon project proposal.
b. Any changes to the project scope must be agreed upon in writing by both parties.
2. Project Timeline:
a. ShubhiTech will provide an estimated project timeline, subject to change based on unforeseen circumstances or changes in project requirements.
b. Delays caused by the client, including late provision of materials or approvals, may impact the project timeline.
3. Intellectual Property:
a. ShubhiTech retains the intellectual property rights to any pre-existing code or software.
b. Upon full payment, the client gains ownership of the developed software, excluding any third-party components.
a. Both parties agree to keep confidential information, including project details and proprietary information, confidential during and after the project completion.
5. Testing and Acceptance:
a. The client will have the opportunity to review and test the software during the development process.
b. Final acceptance will be granted upon the client’s approval of the delivered software.
6. Payment Terms:
a. ShubhiTech requires an initial upfront payment (X% of the total project cost) before commencement of work.
b. Subsequent milestone payments will be outlined in the project proposal and are due upon completion of specific project phases.
c. The final payment (remaining Y% of the total project cost) is due upon successful completion and client acceptance of the project.
7. Late Payments:
a. Late payments may incur a penalty fee or interest, as specified in the payment terms.
b. ShubhiTech reserves the right to suspend work or withhold deliverables until outstanding payments are received.
8. Project Ownership:
a. ShubhiTech retains the right to showcase the completed project in its portfolio, unless otherwise agreed upon in writing.
9. Support and Maintenance:
a. Post-launch support and maintenance services can be provided at an additional cost, as outlined in a separate agreement.
a. Either party may terminate the contract with written notice in the event of a material breach by the other party.
b. In the case of termination, the client is responsible for payment of services rendered up to the termination date.
a. ShubhiTech’s liability is limited to the total project cost, and under no circumstances shall it be liable for any consequential or indirect damages.
12. Governing Law:
a. This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
